We provide you with access to our web application, which lets you measure and optimise the relevance of your social media posts (From the Well).

Where we refer to you in these Terms, we mean you as a User of From the Well.

Applicability of the Terms

1. These Terms apply to every offer and agreement we enter into with you and to any use of From the Well.

3. Arrangements that deviate from these Terms apply only if agreed by us in writing (including by e-mail).

From the Well

1. From the Well provides you with a dashboard in the form of a web application that lets you measure and optimise the relevance of your social media posts.
2. Any business that uses our Software is referred to as a User or, collectively, as Users.
3. We offer From the Well only to business Users.

Account and access

1. To use From the Well you must create an account.
2. You are responsible for keeping your login details secure and for all activities that take place under your account.
3. You may not share your account with third parties or use it for unlawful purposes.
4. We reserve the right to suspend or terminate accounts in the event of a breach of these terms.

Use of the Software

1. You may only use From the Well for lawful purposes and in accordance with these terms.
2. It is prohibited to use the software to distribute illegal, harmful or otherwise inappropriate content.
3. You may not attempt to hack or reverse engineer the software, or otherwise circumvent its security.
4. We reserve the right to restrict or terminate access to the software in the event of misuse.

Prices and payments

1. The prices for our services are stated on our website and may be changed from time to time.
2. Payments must be settled within the specified period using the available payment methods.
3. In the event of late payment, we reserve the right to suspend access to the software.
4. All prices are exclusive of VAT, unless stated otherwise.

Intellectual property

1. All intellectual property rights relating to From the Well vest in us.
2. You are granted a limited, non-exclusive licence to use the software in accordance with these terms.
3. It is prohibited to copy, distribute or otherwise use our software, content or trademarks without our written consent.

Liability

1. We strive to keep From the Well available at all times but cannot guarantee uninterrupted access.
2. Our liability is limited to the amount you paid us in the 12 months preceding the damage.
3. We are not liable for indirect damage, consequential damage or loss of profit.
4. You are responsible for making your own back-ups of your data.

Termination

1. You may terminate your account at any time by contacting us.
2. We may terminate your account in the event of a breach of these terms or non-payment.
3. Following termination, certain rights and obligations remain in effect, including intellectual property and limitation-of-liability provisions.

Governing law

These terms are governed by Dutch law. Disputes will be submitted to the competent court in the Netherlands.
